Terms of Service

BY ACCESSING OR USING CLYPZ, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU DO NOT HAVE PERMISSION TO USE THE SERVICE.

1. Service Overview

Clypz provides a marketplace platform connecting AI companies ("Companies") and content creators ("Creators") through campaign-based programs ("Clypz Campaigns"). Companies create and fund campaigns with eligibility criteria and content requirements; Creators apply to participate and submit videos. Payouts are calculated based on verified view counts, subject to these Terms and any campaign-specific rules.

Clypz does not act as an employer, agent, or representative of Companies or Creators. Clypz is not a financial institution and does not provide banking or money transmission services. Payouts are facilitated through third-party payment providers.

2. Eligibility

The Service is available only to individuals who are at least 18 years old. By using the Service, you represent and warrant that you are 18 or older and have the authority to agree to these Terms. If you access the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms and that your use complies with all applicable laws and regulations.

3. Account Registration and Security

To use certain features, you must create an account by providing accurate, current, and complete information including your name and email address. You agree to keep your information updated and are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us promptly of any unauthorized use at support@clypz.io.

Connected Social Accounts. You may connect third-party accounts via OAuth, including Google (YouTube), TikTok, and Instagram. These connections are used to verify your identity, enable campaign participation, and allow Clypz to access video metrics (e.g., view counts) for payout calculations. Clypz accesses only the data necessary to operate the Service. You may disconnect a connected account at any time through your account settings; however, disconnecting an account required for an active campaign may affect your eligibility or payouts for that campaign. Your use of these third-party platforms remains subject to their respective terms of service and privacy policies.

4. Acceptable Use

When using the Service, you agree not to: violate any applicable law or regulation; infringe the intellectual property or privacy rights of others; upload or share content that is unlawful, harmful, deceptive, or harassing; buy, generate, or otherwise inflate views or engagement using bots or artificial traffic; interfere with or disrupt the operation of the Service; attempt to circumvent campaign rules, eligibility restrictions, or payout calculations; or send unsolicited advertising or spam.

5. Intellectual Property

The Service and all materials within it are owned by Clypz or its licensors and are protected by intellectual property laws. You retain all right, title, and interest in your videos and content. By submitting content, you grant Clypz a non-exclusive, worldwide, royalty-free license to host, store, and display it solely to operate and promote the Service. Submitting content to a campaign does not grant any Company a right to use, reproduce, or distribute your content without your separate written consent.

6. Clypz Campaigns

Campaigns allow AI companies to create offers with a CPM rate, maximum budget, end date, and content requirements. Eligible creators (18+) may submit content on supported platforms. Approved submissions earn rewards based on verified view counts until the maximum budget is reached or the campaign ends. Clypz may deny, reverse, or withhold payouts for Invalid Activity, which includes purchased views, automated traffic, or any manipulation of platform metrics. Companies must fund campaigns sufficiently and may not promote illegal or deceptive products. Companies and Creators act as independent contractors. Clypz may modify, suspend, or terminate any campaign at any time and does not guarantee any minimum level of rewards.

7. FTC Disclosure Requirements

Creators are individually responsible for complying with applicable advertising disclosure laws, including FTC guidelines. Disclosures must be clear and conspicuous (e.g., "#Ad" or "Paid partnership with [Company]"). Non-compliant posts may result in loss of payment or removal from Clypz.

8. Payments and Payouts

Payouts are calculated based on a CPM (cost per 1,000 verified views) rate set by the Company for each campaign. All amounts are in U.S. dollars unless otherwise stated. Clypz charges a 25% platform fee on campaign budget spent. Clypz may withhold, delay, or claw back amounts where activity violated these Terms or involved Invalid Activity. Creators are solely responsible for all applicable taxes on payouts received.

9. Third-Party Services

The Services may integrate with third-party services including Google/YouTube, TikTok, and Instagram. Clypz does not control and is not responsible for third-party services. Your use of third-party services is governed by their terms and policies. To revoke Clypz access to your Google data, use the Google Security Settings page.

10. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or for any reason at our discretion. Upon termination, your right to use the Service ceases immediately and you remain responsible for any amounts owed. You may not create a new account if your prior account was terminated for breach.

11. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, Clypz will not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claims will not exceed the greater of $100 or amounts you paid to Clypz in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Clypz and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the Services, your content, or your violation of these Terms.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved on an individual basis. You agree not to participate in any class action or representative proceeding against Clypz. Either party may seek injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the date above. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
